to send, receive, and process payments using cryptocurrencies and stablecoin-based systems, along with
related financial services.

DoronPay provides innovative cryptocurrency payment solutions including Bitcoin (BTC) and USDT
transactions across multiple blockchain networks (USDC, BEP20, Solana), as well as specialized services
such as DoronSwap Our mission is to make cryptocurrency payments
accessible, secure, and efficient for both individuals and businesses.
Agreement to Terms
By accessing or using our Services, you ("you," "your," "User," "Merchant," or "Customer") agree to be
bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement
between you and DoronPay. If you do not agree to these Terms, you may not access or use our Services.
Please read these Terms carefully before using our platform. Your continued use of
DoronPay constitutes acceptance of these Terms and any future modifications.
2. Eligibility
To use DoronPay's Services, you must meet the following eligibility requirements:
Age and Legal Capacity
- You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is
higher
- You must have the legal capacity to enter into binding contracts
- If you are using the Services on behalf of a business entity, you represent and warrant that you
have the authority to bind that entity to these Terms
Compliance Requirements
- You must comply with all applicable laws and regulations in your country and jurisdiction, including
but not limited to anti-money laundering (AML) and counter-terrorism financing (CTF) regulations
- You must not be located in a country subject to sanctions by international authorities or where
cryptocurrency services are prohibited
- You must not be on any sanctions list or otherwise prohibited from receiving financial services
under applicable laws
Merchant Requirements
Merchants wishing to use DoronPay's business services must:
- Complete our onboarding requirements and verification process
- Undergo Know Your Customer (KYC) and Anti-Money Laundering (AML) checks where applicable
- Provide accurate business information and documentation
- Maintain valid business licenses and registrations in their operating jurisdiction
- Ensure their business activities are lawful and comply with all relevant regulations
3. Services Provided
DoronPay offers a comprehensive suite of cryptocurrency payment and financial services designed to meet
the needs of both individual users and businesses. Our Services may include:

- Multi-Currency Support: Send and receive payments in Bitcoin (BTC)

near-instant confirmations

- Liquidity provision for seamless transactions
Service Modifications: DoronPay reserves the right to add, modify, suspend, or
discontinue any aspect of the Services at any time at our sole discretion. We will make reasonable
efforts to notify users of significant changes, but we are not obligated to provide advance notice.
Continued use of the Services after such changes constitutes acceptance of the modified Services.
4. Custody & Responsibility
Understanding the custody model of DoronPay is crucial for proper use of our Services.
Non-Custodial by Default
DoronPay operates on a non-custodial model for user wallets, which means:
- You retain complete control over your private keys
- You are solely responsible for securing your wallet credentials
- DoronPay cannot access, freeze, or recover your funds without your private keys
- You bear full responsibility for any loss of access to your wallet
Temporary Custody
For certain services such as DoronSwap and voucher systems, DoronPay may hold temporary reserves to
facilitate transactions. In these cases:
- Funds are held only for the duration necessary to complete the transaction
- We implement industry-standard security measures to protect held assets
- Custody is limited to the specific transaction amount
- Settlement occurs according to predetermined timelines
Asset Value Disclaimer
Important Notice: DoronPay does not guarantee the preservation of value for any
digital assets. Cryptocurrency values are subject to extreme volatility and can fluctuate
significantly within short periods. The value of your holdings may increase or decrease at any time.
You acknowledge and accept all risks associated with holding and transacting in cryptocurrencies.
Security Responsibilities
You are responsible for:
- Maintaining the security of your devices and accounts
- Keeping your private keys, passwords, and recovery phrases secure and confidential
- Immediately notifying DoronPay of any suspected security breach
- Using strong authentication methods and enabling available security features
- Regularly backing up your wallet information
5. Fees
DoronPay operates on a transparent fee structure designed to provide value while maintaining our
Services.
Transaction Fees
- All transaction fees are clearly disclosed before you confirm any transaction
- Fees may vary based on transaction type, amount, and payment method
- You will always have the opportunity to review and accept fees before proceeding
Network Fees
Blockchain transaction costs (gas fees, miner fees) are separate from DoronPay service fees and are:
- Determined by the respective blockchain networks
- Borne by the user initiating the transaction
- Variable based on network congestion and transaction priority
- Displayed before transaction confirmation
Fee Changes
DoronPay reserves the right to modify our fee structure at any time. We will:
- Provide appropriate notice of fee changes via email or platform notification

- Apply new fees only to transactions initiated after the change date

6. Risks & Disclaimers
Cryptocurrency transactions and services involve inherent risks. By using DoronPay, you acknowledge and
accept the following:
Transaction Irreversibility
Critical Warning: Cryptocurrency transactions are irreversible by nature. Once a
transaction is confirmed on the blockchain, it cannot be undone, canceled, or reversed by DoronPay
or any other party. Always verify recipient addresses, amounts, and transaction details before
confirming any transaction.
Regulatory Status
- DoronPay is not a bank or traditional financial institution
- We operate as a cryptocurrency payment platform and, where applicable, as a registered Money
Services Business (MSB) or under equivalent licensing in relevant jurisdictions
- Our Services are not covered by deposit insurance schemes
- Regulatory treatment of cryptocurrencies varies significantly by jurisdiction and may change
Compliance Responsibility
You are solely responsible for:
- Understanding and complying with all laws and regulations applicable in your jurisdiction
- Determining the tax implications of your cryptocurrency transactions
- Reporting cryptocurrency holdings and transactions to relevant authorities
- Ensuring your use of DoronPay complies with local securities, commodities, and financial services
regulations
Market Risks
- Price Volatility: Cryptocurrency prices can fluctuate dramatically in
short periods
- Liquidity Risk: Market conditions may affect your ability to buy or
sell at desired prices
- Market Manipulation: Cryptocurrency markets may be subject to
manipulation
- Loss of Value: You may lose some or all of your investment
Technical Risks
- Network Delays: Blockchain confirmations may be delayed during high
traffic
- Smart Contract Risk: Blockchain-based services may contain bugs or
vulnerabilities
- Fork Risk: Blockchain networks may undergo splits or protocol changes

7. User & Merchant Obligations
All users of DoronPay must adhere to the following obligations:
Account Information
- Provide accurate, current, and complete information during registration and verification
- Maintain and promptly update your account information
- Not create multiple accounts to circumvent restrictions or verification requirements
- Not share or transfer your account to any other person
Lawful Use Only
You agree to use DoronPay only for lawful purposes and not to engage in any of the following prohibited
activities:
- Money Laundering: Using the Services to launder proceeds of criminal
activity
- Terrorism Financing: Providing financial support for terrorist
organizations or activities
- Fraud: Engaging in any form of deceptive or fraudulent activity
- Unlicensed Gambling: Operating gambling services without proper
licensing
- Drug Trafficking: Facilitating illegal drug transactions
- Human Trafficking: Supporting or facilitating human trafficking
- Ransomware: Paying or receiving ransomware payments
- Sanctions Violations: Transacting with sanctioned individuals,
entities, or countries
- Securities Violations: Offering unregistered securities or investment
schemes
- Intellectual Property Infringement: Selling counterfeit goods or
infringing content
Merchant-Specific Obligations
If you are using DoronPay as a merchant, you additionally agree to:
- Ensure all business activities conducted through DoronPay are legal in your jurisdiction
- Maintain all necessary business licenses and permits
- Provide clear and accurate descriptions of products or services
- Honor your stated refund and return policies
- Comply with consumer protection laws
- Not engage in deceptive marketing or pricing practices
- Protect customer data in accordance with applicable privacy laws
- Process refunds and disputes in a timely and fair manner
Security Obligations
- Maintain the confidentiality of your account credentials
- Use strong, unique passwords for your DoronPay account
- Enable two-factor authentication when available
- Not use automated tools or bots without express permission
- Report any security vulnerabilities to DoronPay promptly
- Not attempt to circumvent security measures
Cooperation with Investigations
You agree to cooperate with any investigations by DoronPay or law enforcement, including:
- Providing additional documentation upon request
- Responding to inquiries about suspicious transactions
- Allowing DoronPay to freeze or reverse transactions if legally required
8. Settlements & Withdrawals
DoronPay processes settlements and withdrawals according to specific schedules and requirements.
Settlement Cycles
- Settlements are processed according to DoronPay's daily or scheduled settlement cycles
- Settlement timing may vary based on transaction type, amount, and verification requirements
- Typical settlement periods range from instant to 3 business days, depending on the service
- High-value or unusual transactions may require additional processing time
Fiat Settlement Requirements
For settlements to fiat currency (where applicable), you must:
- Provide valid bank account details or mobile money account information
- Complete identity verification if required
- Ensure the account is in your name or your business's name
- Comply with any local banking or mobile money regulations
Withdrawal Limits
- Withdrawal limits may apply based on your account verification level
- Limits are in place to comply with regulatory requirements and risk management
- Higher limits may be available upon completion of enhanced verification
- Limits are subject to change based on regulatory requirements
Holds and Freezes
Important: DoronPay reserves the right to delay, suspend, or freeze settlements and
withdrawals if:
- Suspicious activity is detected on your account
- A transaction appears to violate these Terms or applicable laws
- We receive a valid legal order to freeze funds
- Additional verification is required
- There is a dispute regarding the transaction
- We suspect fraud or other illegal activity
We will make reasonable efforts to notify you of any holds or freezes and the reasons for them,
except where prohibited by law or where notification might interfere with an investigation.
Failed Settlements
If a settlement fails due to incorrect account information or other issues:
- Funds will be returned to your DoronPay account
- You will be notified of the failure and the reason
- You may be required to update your account information before retrying
- Repeated failed settlements may result in account restrictions
9. Intellectual Property
All intellectual property rights in the DoronPay platform, Services, and related materials are owned by
DoronPay or our licensors.
DoronPay Property
The following remain the exclusive property of DoronPay:
- DoronPay trademarks, service marks, and logos
- Website design, layout, and visual elements
- Software, code, and algorithms
- Documentation, guides, and tutorials
- Marketing materials and content
- APIs and developer tools
Limited License
Subject to your compliance with these Terms, DoronPay grants you a limited, non-exclusive,
non-transferable, revocable license to:
- Access and use the Services for their intended purpose
- Use DoronPay logos and branding materials as provided in our brand guidelines for the purpose of
indicating acceptance of DoronPay payments
- Use our APIs and developer tools in accordance with our API documentation
Restrictions
You may not, without prior written consent from DoronPay:
- Reproduce, modify, or create derivative works of DoronPay's intellectual property
- Reverse engineer, decompile, or disassemble any aspect of the Services
- Use DoronPay's trademarks in a way that suggests endorsement without authorization
- Remove or alter any copyright, trademark, or proprietary notices
- Frame or mirror any part of the Services
- Use automated systems to extract data from the Services
Feedback and Suggestions
If you provide DoronPay with feedback, suggestions, or ideas about our Services:
- You grant DoronPay a perpetual, worldwide, royalty-free license to use such feedback
- DoronPay has no obligation to implement or compensate you for any feedback provided
- You waive any moral rights in such feedback
10. Limitation of Liability
To the maximum extent permitted by applicable law, DoronPay's liability is limited as follows:
Excluded Damages
DoronPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages,
including but not limited to:
- Loss of Profits: Any loss of actual or anticipated profits, revenue,
or business opportunities
- Loss of Data: Any loss, corruption, or destruction of data or
information
- Business Interruption: Any interruption to your business operations
- Reputational Harm: Any damage to your reputation or goodwill
- Indirect Losses: Any losses not directly caused by DoronPay's actions
Service-Related Limitations
DoronPay is not liable for losses arising from:
- Service Interruptions: Temporary unavailability, maintenance, or
technical issues with the Services
- Transaction Delays: Delays in processing transactions due to
blockchain network congestion or other factors beyond our control
- Price Volatility: Fluctuations in cryptocurrency prices or exchange
rates
- Third-Party Services: Actions or omissions of third-party service
providers, blockchain networks, or payment processors
- Network Failures: Failures of the internet, telecommunications, or
blockchain networks
Security-Related Limitations
DoronPay is not liable for losses resulting from:
- Security breaches caused by your failure to secure your account credentials
- Unauthorized access to your account due to compromised devices or phishing attacks
- Loss of private keys or recovery phrases
- Malware or viruses on your devices
- Social engineering attacks or scams
Cryptocurrency-Specific Limitations
- DoronPay makes no guarantees about cryptocurrency values
- We are not responsible for blockchain forks, airdrops, or protocol changes
- We do not guarantee the availability or functionality of any specific blockchain network
- We are not liable for losses due to smart contract bugs or vulnerabilities in third-party protocols
Maximum Liability Cap
Liability Cap: In any event, DoronPay's total aggregate liability for any claim
arising from or related to these Terms or the Services shall not exceed the greater of: (a) the
amount of fees paid by you to DoronPay during the three (3) months immediately preceding the claim,
or (b) $100 USD.
Indemnification
You agree to indemnify, defend, and hold harmless DoronPay, its affiliates, and their respective
officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses
(including legal fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of third parties
- Your violation of applicable laws or regulations
Jurisdictional Variations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions,
our liability is limited to the maximum extent permitted by law.
11. Termination & Suspension
DoronPay reserves the right to suspend or terminate your access to the Services at any time, with or
without cause, and with or without prior notice.
Grounds for Termination
Your account may be suspended or terminated for any of the following reasons:
- Violation of Terms: Any breach of these Terms and Conditions
- Illegal Activity: Suspected involvement in illegal activities,
including money laundering, fraud, or terrorism financing
- Risk to Platform: Actions that pose a risk of harm to DoronPay, our
Services, or other users
- Inactivity: Extended periods of account inactivity (typically 12
months or more)
- Law Enforcement: Upon request by law enforcement or regulatory
authorities
- False Information: Provision of false, inaccurate, or misleading
information
- Multiple Accounts: Creation of multiple accounts to circumvent
restrictions
- Chargebacks: Excessive chargebacks or payment disputes
Suspension Process
If your account is suspended:
- You will be notified via email (unless prohibited by law or necessary for security reasons)
- You will be informed of the reason for suspension when possible
- You may be given an opportunity to remedy the issue if applicable
- Access to your account will be temporarily restricted
- Pending transactions may be held during the suspension period
Termination Effects
Upon termination of your account:
- Your right to access and use the Services immediately ceases
- You must immediately cease using any DoronPay intellectual property
- Pending transactions may be canceled or completed at DoronPay's discretion
- You may lose access to data and information associated with your account
- Any remaining balance may be returned to you after deducting applicable fees and resolving any
disputes, subject to legal requirements
Your Right to Terminate
You may terminate your account at any time by:
- Contacting our support team with a termination request
- Following the account closure process in your account settings
- Ensuring all pending transactions are resolved
- Withdrawing any remaining balance
Post-Termination Obligations
After termination, you remain responsible for:
- Any outstanding fees or obligations incurred before termination
- Any disputes or chargebacks related to transactions before termination
- Compliance with all applicable laws regarding transactions completed through DoronPay
Survival
The following sections survive termination: Intellectual Property, Limitation of Liability,
Indemnification, Governing Law, and any other provisions that by their nature should survive.
12. Governing Law & Dispute Resolution
These Terms and your use of DoronPay are governed by specific legal frameworks and dispute resolution
procedures.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Accra, Ghana,
without regard to its conflict of law provisions. The United Nations Convention on Contracts for the
International Sale of Goods does not apply to these Terms.
Jurisdiction
You agree that any legal action or proceeding arising from or related to these Terms or your use of
DoronPay shall be brought exclusively in the courts located in Accra, Ghana. You consent to
the personal jurisdiction of such courts and waive any objection to venue in such courts.
Dispute Resolution Process
Before initiating any formal legal proceedings, we encourage users to follow this dispute resolution
process:
Step 1: Contact Support
- Contact our support team at support@doronpay.com
- Provide a detailed description of the dispute
- Allow 10 business days for our team to investigate and respond
Step 2: Escalation
- If the issue is not resolved to your satisfaction, request escalation to management
- Provide any additional information or documentation requested
- Allow an additional 15 business days for review
Step 3: Formal Dispute
If the dispute remains unresolved after the above steps, you may initiate formal proceedings.
Arbitration Agreement
For disputes that cannot be resolved informally, you agree to binding arbitration in Accra,
Ghana, conducted in English. The arbitration shall be administered by a mutually agreed-upon
arbitration service under its commercial arbitration rules.
Class Action Waiver
You agree that disputes must be brought on an individual basis only, and not as a plaintiff or class
member in any purported class, consolidated, or representative proceeding. Neither you nor DoronPay may
participate in a class action or class-wide arbitration.
Exceptions to Arbitration
Either party may seek equitable relief in court for infringement or misuse of intellectual property
rights without first engaging in arbitration.
Regulatory Complaints
Where DoronPay operates as a registered Money Services Business or under other regulatory frameworks, you
may also have the right to file complaints with relevant regulatory authorities. This does not affect
your obligations under this dispute resolution provision.
13. Changes to Terms
DoronPay reserves the right to modify, update, or replace these Terms at any time at our sole discretion.
Notification of Changes
When we make changes to these Terms, we will:
- Update the "Last Updated" date at the top of this page
- Post the updated Terms on our website and mobile application
- Make reasonable efforts to notify you of significant changes via email or in-app notification
- For material changes, provide at least 30 days' notice before the changes take effect
Your Responsibility
It is your responsibility to:
- Review these Terms periodically for any changes
- Check the "Last Updated" date to identify when the Terms were last modified
- Understand how changes may affect your use of the Services
Acceptance of Changes
Your continued access to or use of the Services after the modified Terms have been posted constitutes
your acceptance of the modified Terms. If you do not agree with the modified Terms, you must:
- Immediately discontinue use of the Services
- Close your account by following our account closure process
- Withdraw any remaining balance (subject to applicable fees and resolution of pending transactions)
